Confidentiality and Data Protection Agreement for Contractors Working with

This Confidentiality and Data Protection Agreement (“Agreement”) is made and entered into by contractorsname (“Contractor”), employee of companyname, with its principal office located at companyaddress, companycountry, (collectively referred to as the “Parties”).

WHEREAS, the Contractor is engaged to perform services for companyname; and

WHEREAS, in the course of performing these services, the Contractor will have access to confidential and sensitive information related to companyname’s operations, clients, and partners;

NOW, THEREFORE, for and in consideration of the mutual covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. Compliance with EU Privacy Laws

The Contractor agrees to comply fully with all applicable European Union privacy laws and regulations, including but not limited to the General Data Protection Regulation (GDPR). This includes, but is not limited to, the lawful processing of personal data, ensuring data subject rights, and implementing appropriate security measures to protect personal data.

2. Confidentiality Obligations

The Contractor agrees to:

• Maintain the confidentiality of all companyname’s data, including client information, business strategies, operations, and any other information deemed confidential by companyname.
• Not disclose any confidential information obtained during the course of their work to any third party, except as authorized by companyname in writing.
• Use the confidential information solely for the purpose of performing the services for companyname and not for any other purpose.

3. Data Protection

The Contractor will implement and maintain all appropriate security measures to protect against unauthorized access to, alteration, disclosure, or destruction of personal data and client information. The Contractor will also assist companyname in ensuring compliance with data subjects’ rights under the GDPR.
