Consulting Agreement

This Consultancy Agreement (the “Agreement”) is entered into as of date, by and between:

client_name, with its principal office located at address (hereinafter referred to as the “Client”);

and

consultant_name, with its principal office located at address (hereinafter referred to as the “Consultant”).

Client and Consultant may each be referred to as a “Party” and collectively as the “Parties.”

1. Engagement and Services

1.1 The Client hereby engages the Consultant to provide

(the “Services”), and the Consultant agrees to perform the Services in accordance with the terms of this Agreement. The Consultant will use reasonable care, skill, and diligence in the provision of Services.

1.2 The Services will be provided commencing on start_date and will continue until end_date, unless terminated earlier in accordance with this Agreement.

2. Standard of Service

2.1 The Consultant agrees to provide the Services at a level consistent with generally accepted industry standards and professional practices. The Consultant shall perform the Services in a timely and competent manner and ensure that any deliverables meet the agreed specifications.

2.2 If the Consultant fails to meet these standards, the Consultant agrees to remedy any defects or deficiencies in the Services at no additional cost to the Client.

3. Tools, Instruments, and Equipment

3.1 The Consultant shall provide their own tools, instruments, equipment, and materials necessary for performing the Services unless otherwise agreed by the Parties in writing.

3.2 The Client may, at their discretion, provide certain equipment or materials to the Consultant for use in performing the Services, which shall remain the property of the Client.

4. Representation and Warranty

4.1 The Consultant represents and warrants that they possess the necessary qualifications, expertise, and experience to perform the Services under this Agreement.

4.2 The Consultant further warrants that the Services provided will be performed in a manner consistent with applicable professional standards and that no part of the Services will infringe upon or violate the intellectual property rights of any third party.

5. Compensation

5.1 In exchange for the Services, the Client agrees to pay the Consultant €amount per work_unit.

5.2 The Consultant will invoice the Client invoice, and the Client will make payment within number_of_days of receiving the invoice.

5.3 Any reasonable pre-approved expenses incurred by the Consultant in connection with the Services will be reimbursed by the Client, subject to valid receipts.
